The Board of Directors must function effectively and with good governance to ensure an organisation's success.

Executive and non-executive directors of a Board must behave and perform in accordance with the King Code and also in accordance with the Companies Act. Overall, the Board's performance needs to be evaluated and assessed.

This course provides guidelines for directors on the criteria for their behaviour and performance. It also focuses on how the performance of the Board should be managed. Specific focus is placed on the challenges Boards of Directors face in terms of BEE transactions.

Workshop outcomes include:

  • An understanding of the legal and fiduciary responsibilities of directors
  • An understanding of the meaning and implication of the King Code on corporate governance
  • How to define the competency requirements for directors
  • How to assess the performance of the Board of Directors
  • Fully understand the role and responsibilities of the chairperson of the Board
  • Obtain clarity on the distinction between executive, non-executive and independent directors
  • Understand the implications for Boards of Directors in BEE transactions

About your presenter

Andrew Joubert holds business degrees from the universities of Cape Town and the Witwatersrand, including an MBA at Wits Business School. His corporate experience includes retail, transport, property, banking, IT and insurance, with major organisations like Foschini, Avis, Investec, IBM and Liberty Life.

Today Andrew lectures and facilitates for various business schools to corporate and government audiences in the fields of corporate governance & ethics, marketing, environment of business, finance and economics. His articles have been published in Finweek and Business Day. He has a keen interest in current events at global and local level, and is an engaging and entertaining facilitator. His workshops are spiced with real-life situations, and robust debate in breakaway sessions.
